Terms and Conditions

1. Scope of Application

These Terms and Conditions apply to all business relationships between Carnagelion GmbH (hereinafter "Provider") and the customer. Deviating conditions of the customer are not recognized unless the Provider expressly agrees to their validity in writing.

2. Service Description

The Provider provides consulting services in the field of financial education and regional development. The exact scope of services is determined by the respective service agreement.

3. Contract Formation

The presentation of our services on the website does not constitute a legally binding offer. A contract is concluded only through the written confirmation of the Provider or through the provision of the service.

4. Prices and Payment Terms

Unless otherwise stated, prices are in Euros and include the statutory value-added tax. Payments are due within 14 days of invoicing.

5. Liability

The Provider is fully liable for intent and gross negligence. In cases of slight negligence, the Provider is only liable for the breach of essential contractual obligations. In this case, liability is limited to the foreseeable, contract-typical damage. Liability for indirect damages and consequential damages is excluded.

6. Confidentiality

Both parties undertake to treat all confidential information received during the cooperation as strictly confidential and not to disclose it to third parties.

7. Intellectual Property

All documents, concepts, and materials created by the Provider remain the intellectual property of the Provider unless expressly agreed otherwise.

8. Termination

Both parties may terminate the contract with 30 days' notice to the end of the month. The right to extraordinary termination for good cause remains unaffected.

9. Applicable Law

The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods. The place of jurisdiction is Berlin, provided the customer is a merchant, legal entity under public law, or special fund under public law.

10. Severability Clause

Should individual provisions of these Terms and Conditions be or become invalid, this shall not affect the validity of the remaining provisions.

11. Changes to Terms and Conditions

The Provider reserves the right to change these Terms and Conditions at any time. The amended conditions will be communicated to the customer and are deemed approved if the customer does not object in writing within two weeks of receipt.
